At Doğuş Otomotiv, sustainability management is built on a multi-layered structure extending from Board of Directors oversight to operational implementation. Environmental, social, economic, and governance matters are addressed in connection with the Company’s strategy, business model, value chain, risk management, policy framework, and decision-making processes.

Disclosures on the management structure are presented based on the governance model of Doğuş Otomotiv Servis ve Ticaret A.Ş., the publicly listed parent company. Subsidiaries, relevant affiliates, and business partners are incorporated into this structure by taking into account operational control, data accessibility, business relationships, and sustainability-related impacts.

Doğuş Otomotiv Servis ve Ticaret A.Ş. has a one-tier Board of Directors structure. The Board of Directors has ultimate oversight responsibility for the Company’s strategic direction, risk management, internal control, internal audit, business continuity, and long-term corporate resilience.

Sustainability-related impacts, risks, and opportunities are presented to the Board of Directors through the work of the relevant Board committees and the flow of information from management functions. This ensures that sustainability matters are addressed within the Company’s overall governance and oversight structure.

The Corporate Governance and Sustainability Committee serves as a key link for bringing sustainability matters to the Board of Directors’ agenda. The Committee supports the Board of Directors’ oversight responsibilities with respect to corporate governance principles, sustainability strategy, policy framework, stakeholder relations, public disclosure processes, and sustainability reporting.

Assessments from the Sustainability Council and relevant management functions are brought to the Board of Directors through the Committee, while the Board’s guidance is communicated to the relevant areas of implementation.

The Sustainability Council is the primary coordination structure that brings together different functions across the Company around the sustainability agenda. The Council supports the integration of strategic priorities into relevant business processes, information sharing across different management areas, and the holistic assessment of matters requiring a common agenda.

Information and assessments from different areas, including environmental management, human resources, customer experience, supply chain, digitalization, ethics, compliance, risk management, and reporting, are brought together through the Council’s work. Matters requiring management-level consideration are referred to the Corporate Governance and Sustainability Committee.

The operational implementation structure for sustainability management consists of the following:

Environmental Committee

Supports the assessment and monitoring of matters related to environmental management, energy, climate, resource use, and operational environmental impacts across relevant business units.

Compliance Function and Risk Unit

Contributes to linking business ethics, legal compliance, corporate risks, and sustainability-related risks and opportunities with relevant management processes.

Relevant Departments and Data Owners

Are responsible for managing sustainability-related matters within their respective business processes, generating data at the source, defining its scope, and communicating it to management levels.

Internal Control and Internal Audit

Support the sustainability management structure by assessing the control environment, processes, data flows, and reporting reliability.

Employee Representation Mechanisms

Contribute to bringing employees’ views, suggestions, and feedback into management processes.

Doğuş Otomotiv’s sustainability management structure is based on a two-way flow in which information from field operations and business processes is communicated to management levels, while decisions and guidance are subsequently conveyed back to the relevant areas of implementation.

Guidance, policies, priorities, and monitoring expectations established at the Board and committee levels are communicated to the relevant areas of implementation through the same management line.
